Taurion - Terms of Use
Effective date: October 22, 2026
1. Acceptance and who these terms cover
1.1 These Terms of Use ("Terms") govern access to taurion.capital and any related websites, applications, and services (together, the "Services") operated by Taurion Inc., a Delaware corporation ("Taurion," "we," "us").
1.2 Who is who.
-
Licensee: a registered investment adviser, family office, or other firm that licenses the Services under a written agreement with Taurion.
-
Authorized User: an individual a Licensee permits to use the Services, including the Licensee's personnel and, where the Licensee enables it, the Licensee's own clients ("End Clients").
-
Visitor: anyone browsing the public website without an account.
1.3 By accessing the Services you agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind it.
1.4 Order of precedence. If a Licensee has signed a Master Subscription Agreement, order form, or data protection addendum with Taurion (an "Agreement"), that Agreement controls over these Terms where they conflict.
1.5 End Clients: your relationship with your adviser is governed by your agreement with that adviser, not with Taurion. Taurion provides software to your adviser.
2. The Services
2.1 Taurion provides decision-support software for wealth management firms, including tools to map and document financial decisions (Decision Graph), model hypothetical scenarios (Scenario Engine), record the basis for decisions (Governance Ledger), and produce analytical outputs such as the Financial Integrity Score (together, "Outputs").
2.2 Pre-release status. The Services are under active development. Features may be labeled beta, preview, or pilot. These features are provided as-is, may change or be withdrawn without notice, and may contain errors.
2.3 Models. Outputs are produced by rules-based and statistical models. If we introduce machine learning or AI features, we will update these Terms and describe them in the Services before they are enabled.
2.4 We may modify, suspend, or discontinue any part of the Services. For Licensees, any notice and service-level commitments are set out in the Agreement.
3. Not investment advice
3.1 Taurion is a software provider. Taurion is not a registered investment adviser, broker-dealer, insurance agency, tax adviser, or law firm, and does not provide investment, tax, legal, or insurance advice through the Services.
3.2 No advisory relationship. Use of the Services does not create an advisory, fiduciary, or client relationship between Taurion and any Licensee, Authorized User, or End Client. Each Licensee is solely responsible for any advice it gives, including advice informed by Outputs, and for its own regulatory obligations.
3.3 Outputs are inputs, not recommendations. Outputs, including the Financial Integrity Score, are analytical estimates based on the data provided and on stated assumptions. They are not a recommendation to buy, sell, or hold any security or to adopt any strategy. Scenario results are hypothetical, do not reflect actual trading, and do not guarantee future results. Outputs are only as accurate as the data supplied.
3.4 No offer of securities. Nothing on the Services is an offer to sell, or a solicitation of an offer to buy, any security, including any interest in Taurion.
3.5 End Clients: discuss any Output with your adviser before acting on it.
4. Accounts, eligibility, and security
4.1 You must be at least 18 years old and able to form a binding contract. The Services are offered only to users in the United States.
4.2 Accounts are issued by Taurion or by a Licensee administrator. You must give accurate information and keep it current.
4.3 You are responsible for keeping your credentials confidential and for activity under your account. Use multi-factor authentication where offered. Do not share accounts.
4.4 Notify us at [security@taurion.capital] promptly if you suspect unauthorized access.
4.5 A Licensee may suspend or remove its Authorized Users' access at any time. If a Licensee's Agreement ends, its Authorized Users' access ends too.
5. Acceptable use
You will not, and will not help anyone else to:
-
upload data you have no right to share, including client information shared without the authority or consents required by law or your client agreements;
-
use the Services to violate securities, privacy, anti-money-laundering, or other applicable laws;
-
probe, scan, or test the vulnerability of the Services, or bypass any security or access control;
-
reverse engineer, decompile, or attempt to extract source code, models, or scoring methods, except where the law expressly allows it;
-
scrape, crawl, or harvest data from the Services by automated means;
-
copy, resell, sublicense, or provide the Services to third parties outside the scope of an Agreement;
-
use Outputs to build a competing product;
-
upload malware or interfere with the Services' operation;
-
present Outputs to anyone as advice or a recommendation from Taurion.
6. Customer Data
6.1 Ownership. "Customer Data" means data a Licensee or its Authorized Users submit to the Services, including End Client financial and personal information. As between Taurion and the Licensee, the Licensee owns Customer Data.
6.2 Licensee responsibility. The Licensee is responsible for having the rights, notices, and consents needed to submit Customer Data, and for its accuracy.
6.3 Our license to use it. The Licensee grants Taurion a limited license to host, process, and use Customer Data only to provide, secure, support, and maintain the Services for that Licensee, and as required by law.
6.4 Aggregated and de-identified data. Taurion may create data that is aggregated and de-identified so it cannot reasonably identify any Licensee, Authorized User, or End Client. We use it to operate, measure, and improve the Services and will not attempt to re-identify it. [Counsel to confirm against Regulation S-P reuse limits.]
6.5 Model improvement is opt-in. Taurion will not use identifiable Customer Data to develop or train models or new products unless (a) the Licensee elects to allow it, and (b) where the data relates to an End Client, that End Client has given the consent the Licensee is required to obtain. Consent can be withdrawn for future use at any time. Withdrawal does not undo models already trained, but no new identifiable data from that person will be used.
6.6 No sale; no marketing use. Taurion does not sell Customer Data. Taurion will not use any Licensee's Customer Data, Outputs, or client relationships to market Taurion to that Licensee's clients.
6.7 Return and deletion. When an Agreement ends, Taurion will make Customer Data available for export for [30] days and then delete it within [90] days, except copies kept in backups until overwritten or retained to meet legal obligations.
7. Third-party data and services
7.1 The Services may connect to custodians, account aggregators, market data providers, and other third-party services. Your use of them is governed by their terms.
7.2 Taurion does not control and is not responsible for the accuracy, timeliness, or availability of third-party data. Market data and prices may be delayed.
7.3 If you connect a third-party account, you authorize Taurion to retrieve data from it on your behalf for use in the Services.
8. Fees, intellectual property, and confidentiality
8.1 Fees. Fees, billing, and taxes for Licensees are set out in the Agreement. Authorized Users and End Clients are not charged by Taurion.
8.2 Our IP. Taurion and its licensors own the Services, including software, models, scoring methods, designs, and the Taurion name and logo. Subject to these Terms and any Agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for the Licensee's internal business purposes. No other rights are granted.
8.3 Outputs. A Licensee may use Outputs generated from its Customer Data for its own business, including sharing them with its clients. Taurion retains rights in the underlying methods and formats.
8.4 Feedback. If you send us suggestions, we may use them without obligation to you.
8.5 Confidentiality. Non-public information about the Services, including pricing, roadmap, and documentation, is Taurion's confidential information. Don't disclose it except as an Agreement allows.
9. Disclaimers, liability, and indemnity
9.1 Disclaimer. EXCEPT AS EXPRESSLY STATED IN AN AGREEMENT, THE SERVICES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TAURION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. TAURION DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY OUTPUT WILL ACHIEVE ANY FINANCIAL RESULT.
9.2 Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAURION WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, INVESTMENT LOSSES, OR LOST DATA, ARISING FROM THE SERVICES OR OUTPUTS. TAURION'S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID TO TAURION FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AND (B) US $100.
9.3 Some jurisdictions do not allow these exclusions. Where that is the case, they apply only to the extent permitted.
9.4 Indemnity. You will defend and indemnify Taurion against third-party claims arising from (a) your breach of these Terms, (b) data you submit without proper authority, or (c) advice or decisions you make using Outputs. Indemnities between Taurion and a Licensee are governed by the Agreement.
10. Term, disputes, and general terms
10.1 Termination. We may suspend or end your access if you breach these Terms or if needed to protect the Services or other users. Sections 3, 6.4, 6.6, 8, 9, and 10 survive termination.
10.2 Governing law. These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. [Counsel: California vs. Delaware.]
10.3 Disputes. Any dispute will be resolved exclusively in the state or federal courts located in San Francisco County, California, and the parties consent to that jurisdiction. [Counsel: consider JAMS arbitration for Licensee disputes; consumer arbitration for End Clients needs separate review.] Disputes with a Licensee are governed by the Agreement.
10.4 Changes. We may update these Terms. We will post the new version with a new effective date and, for material changes, give notice through the Services or by email at least [30] days before they take effect. Continued use after that date means you accept the change.
10.5 General. These Terms, together with any Agreement and the Privacy Policy, are the entire agreement on their subject. If a provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
